David N. Hruda joined Alexander & Cleaver as an attorney in 2014. He has more than 20 years of legal, trial and business experience. David provides legal and business advice to clients in numerous industries.
As an attorney in private practice he handled a broad scope of transactional and litigation matters including complex contractual and business disputes, corporate law, real estate transactions, land use, banking and corporate mergers and acquisitions. David started his legal career as a felony trial attorney in Baltimore City and later in Charles County, Maryland with the Office of the Public Defender.
He has helped startup companies with establishing corporate structure, navigating complex regulatory issues and raising capital. He has participated in private place memorandums for companies and raised in excess of $100MM. David has helped companies present themselves in corporate structure and governance that enables them to stand out from the crowd and increase their valuation when the time is appropriate for a sale.
David has real entrepreneurial business experience that allows him to understand the importance of getting through the legal hurdles that can slow or stop business growth. He is an effective communicator and negotiator. He has handled multi-million dollar transactions that involve complex due diligence, legal structure and multiple shareholders. He recognizes every transaction, regardless of size, is an important building block for the entrepreneur for their next deal.
As examples of his achievements for clients, David helped found a cardiac health care company that became one of the largest cardiac event monitoring providers in the country and is now a publicly traded company. He helped pioneer and transform the sleep testing health care model with the founding of another healthcare company that brought a transformative and disruptive model to the industry. The company is now one of the largest providers of sleep medicine in the nation and its product is used worldwide.
In representing and working in the healthcare industry David has dealt with issues involving HIPAA and HITECH. He has received certification in health care compliance through the Health Care Compliance Association. He has taken companies through security risk assessments and certification processes and handled security breach notifications.
He also worked with a metropolitan area land developer with acquiring property and getting through the entitlement process. He oversaw a team of professionals in land development that delivered finished lots to national and regional builders. David understands how to build community support and promote the economic development benefits of a project.
David came from South Florida to work for a Senator on Capitol Hill and attend college. He enjoyed the area and has remained in the Washington, DC area ever since. He resides with his wife and two children on a working farm in Southern Maryland. His family enjoys the Southern Maryland lifestyle of horses, hunting and being on the water fishing, sailing and boating.
